Form 1120 is the US corporate income tax return. A pro forma Form 1120 is the same form used as an envelope: it carries Form 5472 to the IRS, but reports no income and no tax.

Why a single-member LLC files a corporate form

A single-member LLC is normally ignored for US income tax (a disregarded entity). For Form 5472 purposes only, the regulations treat a foreign-owned one as a corporation. The Instructions for Form 5472 therefore ask it to file Form 5472 "with a pro forma Form 1120".

What to fill in

  • "Foreign-owned U.S. DE" written across the top.
  • The LLC's name and address.
  • Item B: the LLC's EIN.
  • Item E: "Initial return" in the first year, "Final return" if the LLC is dissolved.
  • Signature, date and title (for example "Sole Member").

Every numbered line and every other page stays blank. The instructions say the only information required on the Form 1120 is the name, address and items B and E.
