LLC Closure
Most online dissolution services stop at the state filing. A US LLC owned from abroad also owes a final Form 5472 with a pro forma Form 1120, and its EIN account has to be closed with the IRS. This bundle covers all three.
What’s included
Everything below is covered by the price above.
Closing plan and wind-up checklist
What to pay, collect and transfer to yourself before the LLC is dissolved, which records to keep, and the order for closing your bank account, registered agent and platforms.
State dissolution filed
Articles of Dissolution (Wyoming) or Certificate of Cancellation (Delaware), filed with the state, with the stamped copy sent to you. For another state, you get its requirements and fee in writing before you pay.
Review of your earlier filings
We go through your records for earlier Forms 5472 (copies, fax receipts, IRS letters) and tell you which years we cannot confirm. The IRS will not close the account while returns are missing; any missing year is quoted separately.
Final Form 5472 + pro forma Form 1120
Marked “Final return”, with the money you take out of the LLC reported in Part V. You sign, we fax it to the IRS and keep the transmission receipt.
Letter to close your EIN account
The letter the IRS asks for, ready to sign, with where to send it and when: after the final return is filed.
Your closing file
The stamped state copy, the fax receipt and a copy of the IRS letter, together in one place for your records.
